1. Acceptance of Terms
By accessing and using Kelstron's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Services Description
Kelstron provides business scaling and global expansion consulting services. Our services include but are not limited to strategic consulting, market analysis, growth planning, and implementation support for businesses seeking to scale operations internationally.
3. User Responsibilities
Users of our services agree to:

- Respect intellectual property rights
- Use our services for legitimate business purposes only

4. Intellectual Property

Kelstron maintains strict confidentiality regarding all client information and business strategies. We do not share client-specific information with third parties without explicit written consent, except as required by law.
7. Payment Terms
Payment terms are established in individual service agreements. Late payments may result in service suspension and additional fees. Refund policies are outlined in specific engagement contracts.
8. Limitation of Liability
Kelstron's liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages arising from the use of our services or advice.
9. Termination
Either party may terminate services with appropriate notice as specified in individual agreements. Upon termination, both parties remain bound by confidentiality obligations.
10. Governing Law
These terms are governed by the laws of Kentucky, United States. Any disputes will be resolved through arbitration in Lexington, Kentucky.
11. Changes to Terms
Kelstron reserves the right to modify these terms at any time. Users will be notified of significant changes via email or website notice.
12. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Kelstron disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:
- The services will meet your specific requirements or expectations
- The services will be uninterrupted, timely, secure, or error-free
- The results obtained from using the services will be accurate or reliable
- Any errors in the services will be corrected
No advice or information, whether oral or written, obtained from Kelstron shall create any warranty not expressly stated in these terms.
13. Indemnification
You agree to indemnify, defend, and hold harmless Kelstron, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your use of and access to the services
- Your violation of any term of these Terms of Service
- Your violation of any third-party right, including intellectual property rights
- Any claim that your use caused damage to a third party
- Your implementation of our recommendations or strategies
14. Dispute Resolution
Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@kelstron.co. We'll try to resolve the dispute informally by contacting you via email.
Binding Arbitration
If we can't resolve the dispute informally, any dispute arising out of or relating to these Terms of Service or the services will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).
The arbitration will be conducted in Lexington, Kentucky, unless both parties agree to a different location. Each party will be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA rules.
Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. You agree to waive any right to have any dispute brought, heard, or arbitrated as a class action, collective action, or representative action.
15. Force Majeure
Kelstron shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
16. Severability
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Service will otherwise remain in full force and effect and enforceable.
17. Assignment
You may not assign or transfer these Terms of Service or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms of Service at any time without notice. Any attempted assignment in violation of this section shall be void.
18. Entire Agreement
These Terms of Service, together with any amendments and any additional agreements you may enter into with Kelstron in connection with the services, shall constitute the entire agreement between you and Kelstron concerning the services. If there is any conflict between these Terms of Service and any other agreement, these Terms of Service will control unless the other agreement specifically identifies these Terms of Service and declares that the other agreement supersedes these Terms of Service.
19. Waiver
No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and Kelstron's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
